Terms of Service

1. Acceptance of Terms

By accessing or using RayBot, including our Telegram bot, web dashboard, APIs, and any related tools (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by RayBot, Inc., a corporation organized under the laws of the State of Delaware, United States ("RayBot", "we", "us"). If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service constitutes ongoing acceptance of these Terms, including any updates made in accordance with Section 18.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction, whichever is higher) and have the legal capacity to enter into a binding agreement in order to use the Service. By using the Service, you represent and warrant that:

• You meet the eligibility requirements above.
• You are not located in, organized in, or a resident of any jurisdiction where use of the Service is prohibited by applicable law.
• You are not subject to any sanctions administered or enforced by any governmental authority, and you are not listed on any list of prohibited or restricted parties.
• Your use of the Service does not violate any applicable law or regulation.

3. Description of Service

RayBot is an informational and analytics tool that provides monitoring, alerts, and analytics for publicly available blockchain data, including cryptocurrency wallet activity, transactions, and portfolio metrics across multiple blockchains.

RayBot is not a cryptocurrency exchange, broker-dealer, money transmitter, custodian, wallet provider, investment adviser, or financial institution. The Service does not execute trades, hold, manage, or transmit funds on your behalf, and does not provide access to or control over any cryptocurrency wallets that you track through the Service.

4. User Accounts

You must authenticate via Telegram to use the Service. You are solely responsible for maintaining the security of your Telegram account and any devices used to access the Service, and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized access to your account. You may not sell, transfer, share, or license your account or access to the Service to any third party.

5. Subscriptions, Payments, and Billing

Certain features of the Service require a paid subscription. Payment can be made by cryptocurrency or by card (processed by Stripe), as made available by us from time to time.

5.1 Cryptocurrency Payments

When you pay by cryptocurrency, the Service assigns you a unique payment wallet address (your "Assigned Wallet").

• Any transfer of cryptocurrency to your Assigned Wallet constitutes a payment to RayBot for the Service. It is not a deposit, is not held in custody for you, and does not create a balance, account, or claim redeemable by you. Upon confirmation of the transaction on the applicable blockchain, ownership of the transferred cryptocurrency passes to RayBot as payment.
• RayBot does not hold, safeguard, or custody funds on behalf of users. Nothing in the Service creates a custodial, fiduciary, trust, escrow, banking, or similar relationship between you and RayBot. No interest or yield accrues on any amount you send.
• You are solely responsible for sending the correct asset, on the correct network, to the correct address, in the correct amount. Blockchain transactions are irreversible. Assets sent to a wrong address, on an unsupported network, or in an unsupported token may be permanently lost and are not recoverable or refundable by RayBot.
• You are responsible for all network (gas) fees associated with your payment. Payment is considered received only upon sufficient on-chain confirmation, as determined by us.
• Where a payment exceeds or falls short of the price of the selected plan, we may, at our sole discretion, apply the amount toward Service time on a pro-rata basis, request a top-up, or apply it as a credit toward future Service — any such credit is a prepayment for services only and is not redeemable, withdrawable, or refundable.

5.2 Card Payments

Card payments are processed by Stripe and are subject to Stripe's terms and privacy policy. We do not store your full card details.

5.3 No Refunds

Except where required by applicable law, all payments are final and non-refundable, including for partially used subscription periods, downgrades, unused features, dissatisfaction with the Service, or termination of your access for breach of these Terms.

5.4 Pricing

We may change subscription prices, plan features, and limits at any time. Price changes apply to subsequent billing or renewal periods and do not affect periods already paid for.

5.5 Taxes

You are solely responsible for any taxes, duties, or similar governmental assessments arising from your use of the Service or your payments, other than taxes on our net income.

6. No Financial Advice

All information provided through the Service — including alerts, analytics, wallet activity, portfolio metrics, PnL figures, trending data, and any other content — is provided for informational purposes only. Nothing in the Service constitutes financial, investment, legal, accounting, or tax advice, or a recommendation, solicitation, or offer to buy or sell any cryptocurrency or other asset. RayBot is not your adviser and owes you no fiduciary duties. You should conduct your own research and consult qualified professionals before making any financial decision. Any decision you make based on information from the Service is made solely at your own risk.

7. Data Accuracy and Availability

The Service relies on public blockchain data and third-party data providers. We do not guarantee that any data, alert, or metric provided through the Service is accurate, complete, timely, or uninterrupted. Data may be delayed, unavailable, mislabeled, or incorrect, and alerts may fail to deliver or deliver late. We may modify, limit, suspend, or discontinue any feature of the Service at any time without notice or liability.

8. Assumption of Risk

You acknowledge that cryptocurrencies and blockchain technologies involve significant risk, including extreme price volatility, total loss of value, protocol failures, smart-contract exploits, and regulatory uncertainty. You accept all such risks and agree that RayBot has no responsibility for any losses you incur in connection with cryptocurrency markets, including losses connected to decisions informed by the Service.

9. Referral Program

Any referral or rewards program we offer is provided at our sole discretion. We may modify, suspend, or terminate the program, or adjust or withhold rewards, at any time. Rewards obtained through fraud, self-referral, automation, or other abuse may be forfeited, and the related accounts terminated. Referral rewards have no cash value until actually paid out and are not owed as a debt by RayBot.

10. Prohibited Uses

You agree not to, and not to permit or assist any third party to:

• Use the Service for any unlawful purpose, including money laundering, sanctions evasion, fraud, or market manipulation.
• Harass, abuse, harm, defame, intimidate, or discriminate against any person.
• Impersonate RayBot, a RayBot employee, another user, or any other person or entity.
• Interfere with, disrupt, probe, or circumvent the security or technical limits of the Service, including rate limits and plan limits.
• Access the Service by any automated means (bots, scrapers, crawlers) or harvest, scrape, or bulk-export data from the Service without our express written permission.
• Resell, redistribute, sublicense, or commercially exploit the Service or its data, or use the Service to build or train a competing product or dataset.
• Reverse engineer, decompile, or disassemble any part of the Service, except to the extent such restriction is prohibited by law.
• Share account credentials or use multiple accounts to circumvent limits, pricing, or bans.

We may investigate suspected violations and cooperate with law enforcement where appropriate.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of RayBot and its licensors, protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. Our trademarks may not be used without our prior written consent. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or compensation.

12. Third-Party Services

The Service interoperates with third-party services and infrastructure, including Telegram, Stripe, blockchain networks, and data providers, and may contain links to third-party websites. We do not control and are not responsible for third-party services, their availability, or their content, and your use of them is governed by their own terms.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYBOT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. RAYBOT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT ANY DATA OR ALERTS WILL BE ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RAYBOT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, CRYPTOCURRENCY, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYBOT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO RAYBOT FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless RayBot and its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any financial decisions or transactions you make.

16. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately, and no refund is owed for any unused subscription period, except where required by applicable law. Sections that by their nature should survive termination (including Sections 5–15 and 17–19) shall survive.

17. Governing Law; Dispute Resolution; Class Action Waiver

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute not subject to informal resolution as described below shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts. To the maximum extent permitted by law, each party waives its right to a trial by jury.

Before bringing any formal claim, you agree to first contact us at @ray_help_bot and attempt in good faith to resolve the dispute informally for at least thirty (30) days. To the maximum extent permitted by law, any dispute shall be resolved on an individual basis only. You waive any right to participate in a class action, class-wide arbitration, or other representative proceeding. Any claim arising out of or relating to the Service must be filed within one (1) year after the claim arose, or be permanently barred, to the extent permitted by applicable law.

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide notice (such as through the Service or our Telegram channels) before the new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to use the Service after changes take effect, you agree to be bound by the revised Terms.

19. General

• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including blockchain network failures or congestion, third-party service outages, acts of government, or internet disruptions.
• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and RayBot regarding the Service.
• Language. These Terms may be translated into other languages for convenience. In the event of any conflict, the English version controls.
